TERMS OF USE AND PRIVACY POLICY

This Terms of Use and Privacy Policy document is intended to govern, regulate, define, and condition the access to, browsing of, registration on, purchase through, interaction with, and continued use of the NEETprep website presently accessible at https://dev.neetprep.com/ (hereinafter referred to as the "Site"), the NEETprep mobile application presently made available through the Google Play ecosystem and any successor distribution channel (hereinafter referred to as the "App"), and all content, products, tools, question banks, test series, performance analytics, doubt-resolution interfaces, learning modules, communications systems, payment flows, account services, and other related digital facilities, functions, or offerings made available by or on behalf of GoodEd Technologies Private Limited from time to time (collectively, the "Services").

The present document has been updated with regard to the legal framework presently relevant to digital services, intermediary compliance, personal data processing, user grievance redressal, and e-commerce conduct in India, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000 and the due diligence architecture reflected in the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, together with the disclosure and consumer-facing standards reflected in the Consumer Protection (E-Commerce) Rules, 2020.

GoodEd Technologies Private Limited, a company duly incorporated under the Companies Act, 2013, and having its registered and principal office at S-15, 2nd Floor, Uphar Cinema Market above Red Chilli Restaurant, Green Park Extension, New Delhi- 110016 (hereinafter referred to as "GoodEd", which expression shall, unless repugnant to the context or meaning thereof, be deemed to include its successors, permitted assigns, affiliates, subsidiaries, group entities, contractors, service providers, delegates, and authorised representatives), owns, controls, administers, licenses, manages, or otherwise operates the Site, the App, and the Services.

Acceptance of Terms

By accessing, browsing, registering upon, subscribing to, transacting through, or otherwise using the Site, the App, or any portion of the Services in any manner whatsoever, any user, visitor, subscriber, purchaser, contributor, instructor, parent, guardian, institution, representative, or other accessing person (collectively, the "User") shall be deemed to have read, understood, acknowledged, and irrevocably agreed to be bound by this document in its entirety.

For the purposes of interpretation, unless the context otherwise requires, the expressions "we", "us", "our", and "GoodEd" shall refer to GoodEd Technologies Private Limited, and the expressions "you", "your", and "User" shall refer to any natural person, parent or guardian acting on behalf of a minor, institution, educational body, partnership, company, association, trust, or any other legal or juristic entity accessing or using the Site, the App, or the Services, whether directly or indirectly, whether as a casual visitor or a registered account holder, and whether for browsing, purchasing, learning, reviewing, administering, uploading, participating, or any other platform-linked purpose.

Where a User acts on behalf of another person or legal entity, such User represents, warrants, and undertakes, on a continuing basis, that such User is possessed of sufficient legal authority, mandate, power, and competence to bind the represented person or entity to this document and to every obligation, waiver, consent, authorisation, representation, and indemnity contained herein.

Scope and Application

The User acknowledges and agrees that access to and use of the Site, the App, and the Services is conditional, revocable, limited, non-exclusive, non-transferable, and subject at all times to continued compliance with this document, with any supplemental platform policies, product-specific conditions, and applicable law.

This document shall apply to the Site and the App as an integrated contractual instrument, provided always that certain services, products, examination packages, counselling offerings, community features, or premium functions may be subject to additional or supplemental terms disclosed at the relevant point of interaction, purchase, or activation. To the extent any such supplemental terms are lawfully incorporated, they shall be read harmoniously with this document; however, in the event of inconsistency, the interpretation that preserves GoodEd's regulatory position, platform integrity, and contractual intent to the maximum extent permitted by law shall prevail unless GoodEd expressly states otherwise in writing.

Amendment of Terms

GoodEd reserves the absolute, unilateral, and continuing right, in its sole discretion and without any obligation to furnish prior notice, explanation, or justification, to amend, modify, vary, supplement, replace, or restate this document, in whole or in part, by publishing the revised version upon the Site, the App, or any other official communication interface maintained by GoodEd. Any such amendment, modification, variation, supplement, replacement, or restatement shall become effective upon such publication or upon such later date as may be specified therein.

The User's continued access to or use of the Site, the App, or the Services after such publication shall constitute conclusive and binding evidence of acceptance of the amended version. If the User does not agree to any amendment, the sole and exclusive remedy available to the User shall be the discontinuation of use of the Site, the App, and the Services.

Access and Availability

Access to certain areas, products, or features of the Site or the App may be made available without charge, while other areas, products, or features may be conditional upon registration, subscription, one-time payment, recurring payment, institutional onboarding, parental verification, or such other access criteria as GoodEd may determine from time to time.

Nothing contained on the Site or the App shall be construed as creating any enforceable expectation that any particular feature, price point, subscription plan, scholarship structure, course availability, test interface, educator participation, content library, or technological functionality shall continue, remain unchanged, or be made available for any minimum duration. GoodEd may, in its sole discretion, alter the architecture, sequencing, composition, naming, packaging, mode of access, duration, or availability of any Service, and may suspend, discontinue, merge, split, localise, personalise, geo-restrict, or withdraw any part thereof without thereby incurring liability except to the extent such liability cannot be excluded under applicable law.

Permitted Use

The User shall use the Site, the App, and the Services solely for lawful, bona fide, personal, educational, and non-commercial purposes unless GoodEd has expressly authorised a different use in writing.

Without limiting the generality of the foregoing, the User shall not copy, scrape, reproduce, mirror, archive, republish, stream, broadcast, frame, transmit, decompile, reverse engineer, adapt, modify, translate, index, distribute, display, sell, sublicense, commercially exploit, or otherwise deal with any content, interface, data arrangement, workflow, question bank, performance output, course material, explanation video, visual element, analytics layer, software logic, or compilation made available through the Site or the App except strictly as permitted under this document.

Any unauthorised use, including systematic extraction or retrieval of content for the creation of a rival repository, derivative database, tutoring aid, answer archive, AI training set, aggregation engine, ranking product, or competitive learning service, shall constitute a material breach of these Terms of Use and may additionally amount to infringement under applicable intellectual property law.

Intellectual Property

All text, software, scripts, graphics, question statements, answer keys, video lectures, solution explanations, diagrams, mock test structures, dashboards, user-interface architecture, metadata, arrangement of compilations, educational sequences, trade dress, logos, trademarks, service marks, brand identifiers, reports, templates, downloadable materials, and all other materials or content made available on or through the Site or the App, whether visible, embedded, downloadable, streamed, cached, generated, or otherwise made perceptible (collectively, "NEETprep Content"), are and shall remain the exclusive property of GoodEd and/or its licensors, as the case may be, and shall be protected by applicable copyright, trademark, database, trade secret, contractual, and other proprietary rights.

No right, title, or interest in or to any NEETprep Content is transferred to the User except for the narrow permission to access such content in accordance with these Terms of Use. All rights not expressly granted are reserved.

Third Party Content

The User acknowledges that certain material made available on or through the Site or the App may be supplied, uploaded, posted, published, transmitted, or otherwise made available by third parties, including but not limited to users, mentors, partner educators, institutional collaborators, integrated service providers, payment processors, app-store operators, logistics providers, or other external contributors ("Third Party Content").

To the maximum extent permitted by law, GoodEd shall not be deemed to be the author, originator, publisher, certifier, or guarantor of Third Party Content merely by reason of hosting, displaying, indexing, linking to, caching, or making such content available. GoodEd does not warrant the accuracy, legality, fitness, completeness, quality, non-infringement, pedagogical suitability, or outcome-reliability of any Third Party Content, and any reliance placed thereon by the User shall be at the User's sole risk and consequence.

External Links

The Site or the App may contain references or links to external sites, third-party payment pages, app-store pages, social channels, communication gateways, cloud resources, maps, support tools, or embedded services not owned or controlled by GoodEd. Such links or integrations are made available merely for convenience, utility, interoperability, or transactional necessity and shall not be construed as constituting endorsement, control, partnership, representation, warranty, certification, or recommendation by GoodEd.

The User acknowledges that access to such external services may be governed by separate terms, privacy policies, technology standards, and payment frameworks, and GoodEd shall not be liable for any loss, claim, delay, data exposure, transaction dispute, or service failure arising out of or connected with the use of such third-party environments.

Prohibited Conduct

The User shall not, directly or indirectly, undertake, attempt, facilitate, permit, assist, procure, or encourage any act or omission that may undermine, impair, compromise, overload, damage, intercept, expropriate, degrade, or interfere with the security, integrity, reliability, availability, or normal functioning of the Site, the App, the Services, or any server, database, network, endpoint, system, software, API, storage layer, content delivery environment, or associated infrastructure used by GoodEd or by any service provider engaged by GoodEd.

This prohibition shall include, without limitation, credential abuse, account sharing designed to circumvent plan restrictions, bot access, denial-of-service activity, malicious code insertion, traffic manipulation, request flooding, unauthorised penetration attempts, privilege escalation, reverse engineering, security scanning without consent, or any attempt to bypass access controls, geo-controls, payment controls, rights management, or exam integrity safeguards.

User Representations

The User represents, warrants, covenants, and undertakes that all information furnished to GoodEd, whether at the time of account creation, enrolment, payment, scholarship application, support interaction, profile completion, referral use, doubt posting, review publication, or at any other time, shall be true, complete, current, lawful, and not misleading in any material respect.

Where the User uploads, posts, submits, shares, transmits, stores, or otherwise makes available any text, image, document, review, profile element, communication, feedback, query, response, comment, rating, doubt, answer, note, or other material through or in connection with the Site or the App ("User Material"), the User shall be solely responsible for such User Material and for the consequences of making the same available.

User Material License

The User hereby grants to GoodEd a non-exclusive, worldwide, transferable, sublicensable, perpetual, irrevocable, royalty-free licence and right to host, store, reproduce, process, adapt, translate, publish, distribute, display, communicate to the public, moderate, analyse, and otherwise use User Material to the extent reasonably necessary or desirable for providing, improving, securing, promoting, auditing, defending, or administering the Site, the App, and the Services, subject always to the privacy commitments and data-processing limitations otherwise applicable under law.

To the extent any User Material embodies intellectual property, personality attributes, or other protectable subject matter, the User further represents that all rights, permissions, consents, and licences necessary for the grant of the foregoing licence have been validly obtained and shall remain valid for so long as necessary to give effect to these Terms.

User Conduct

The User shall not submit, communicate, or make available any User Material or otherwise use the Site or the App in any manner that:

  • Is fraudulent, deceptive, false, unlawful, misleading, or manipulative
  • Infringes any copyright, trademark, patent, trade secret, privacy right, publicity right, confidentiality obligation, or other third-party right
  • Impersonates any person or entity or falsely states or misrepresents affiliation
  • Is defamatory, libellous, threatening, harassing, abusive, hateful, discriminatory, obscene, pornographic, invasive of privacy, harmful to minors, or contrary to public order or morality
  • Contains malware, spyware, trojans, worms, harmful code, or hidden mechanisms
  • Constitutes unauthorised solicitation, spam, deceptive advertising, or a competing commercial pitch
  • Promotes illegal goods, unlawful services, or prohibited transactions
  • Otherwise creates or is reasonably likely to create liability, regulatory exposure, technical harm, reputational injury, or consumer confusion for GoodEd or any third party

Enforcement

Without prejudice to any other right or remedy available at law, in equity, or under this document, GoodEd shall have the right, in its sole discretion and without prior notice, to investigate, screen, flag, redact, delist, remove, disable access to, preserve, disclose, report, or otherwise deal with any User Material, account, activity, communication, transaction, or pattern of conduct that GoodEd reasonably suspects to be unlawful, non-compliant, harmful, abusive, fraudulent, infringing, objectionable, or otherwise inconsistent with this document, applicable law, platform safety, examination integrity, or consumer protection considerations.

The exercise or non-exercise of any such right by GoodEd shall not create any duty to monitor comprehensively, nor any representation that all non-compliant conduct shall necessarily be identified or acted upon in real time.

Grievance Redressal

In keeping with the due diligence framework applicable to intermediaries under Indian law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, GoodEd may maintain and update rules, privacy notices, grievance channels, notice-and-action workflows, dispute escalation methods, and such internal oversight systems as may be reasonably required for user complaints, content moderation, takedown handling, reinstatement requests, law-enforcement cooperation, and record retention.

To the extent applicable, GoodEd may appoint a Grievance Officer or similar designated official and may acknowledge and process complaints within timelines prescribed by law or internal policy. Nothing in this clause shall be interpreted as a waiver of GoodEd's legal defences, safe harbour positions, or rights to act proportionately upon actual knowledge, lawful orders, or good-faith safety assessments.

PRIVACY POLICY

Privacy Commitment

GoodEd recognises that personal data processed through a digital education platform requires a structured legal basis, an informed notice architecture, purpose limitation, secure processing practices, and a responsive rights-handling mechanism. Accordingly, GoodEd states that personal data collected through the Site, the App, and the Services shall be processed in a manner intended to align with the Digital Personal Data Protection Act, 2023 and the standards of notice, consent, withdrawal, rights communication, grievance routing, and purpose specificity that flow therefrom.

Where GoodEd determines the purpose and means of processing personal data collected from Users, GoodEd shall ordinarily act as a data fiduciary; where limited processing is undertaken strictly on behalf of a partner or under confined technical instruction, GoodEd may in an appropriate case function in a processor-like or service-provider capacity, without derogating from any mandatory statutory responsibility that may nevertheless attach to it.

Personal Data We Collect

For the avoidance of doubt, personal data may include, without limitation:

  • Account Registration Details: Name, mobile number, email address, password credentials in protected form, city, state, educational class or stream details, exam preference indicators, parental information where relevant, and such additional profile information as may be voluntarily furnished by the User
  • Transaction and Subscription Information: Order identifiers, payment status, billing references, plan details, coupons, refunds, cancellations, and support-linked purchase history
  • Academic and Service-Use Information: Course access history, module completion, quiz attempts, answer behaviour, progress markers, rank indicators, bookmarks, preference settings, doubts posted, mentor interactions, and usage patterns
  • Device, Log, and Technical Information: IP address, browser type, operating system, app build, device identifier, session traces, timestamps, crash diagnostics, and other metadata reasonably required for security, service continuity, analytics, troubleshooting, and fraud prevention

Lawful Purposes for Processing

GoodEd may process personal data for purposes including but not limited to:

  • Creation and maintenance of user accounts
  • Authentication of login credentials
  • Enabling purchase, provisioning, and renewal of courses or subscriptions
  • Linking educational content and progress history to a single account across devices
  • Rendering recommendations, performance summaries, reminders, and personalised learning experiences
  • Responding to doubts, support requests, complaints, and grievances
  • Maintaining audit trails, fraud checks, abuse prevention, platform analytics, and quality monitoring
  • Enforcing contractual rights and platform rules
  • Complying with tax, accounting, legal, regulatory, or law-enforcement requirements
  • Such other connected, incidental, or reasonably expected purposes as may be disclosed in the relevant notice or otherwise permitted under law

Where consent is the legal basis relied upon, such consent shall be intended to be specific, informed, unambiguous, and communicated through a clear affirmative act rather than passive acquiescence or pre-selected boxes.

Legitimate Processing

GoodEd may also process personal data in circumstances that fall within recognised legitimate uses or analogous legally permitted grounds, including situations where the User has voluntarily provided personal data for a specified purpose and has not indicated non-consent, or where processing becomes reasonably necessary for compliance, fraud prevention, security, or other legally cognisable grounds recognised by applicable law.

However, the existence of such a legally permitted ground shall not diminish GoodEd's commitment to provide an intelligible notice, maintain purpose discipline, and permit rights exercise to the extent available under law. GoodEd shall endeavour that notices made available at or prior to data collection identify the categories of personal data intended for processing, the specific or reasonably connected purposes of such processing, the manner in which Users may exercise available rights, the means for grievance redressal, and the contact particulars of the officer or contact point designated to respond to such requests or complaints.

Account-Dependent Services

The User acknowledges that certain portions of the Services are inherently account-dependent and cannot be meaningfully rendered without processing such personal data as is necessary for identification, authentication, purchase linkage, progress retention, content entitlement, anti-fraud control, or continuity of learning experience across sessions and devices.

To that extent, if the User declines to provide mandatory personal data or withdraws consent in respect of processing essential to a requested Service, GoodEd may be unable to create, maintain, or continue the relevant account, purchase, entitlement, or feature. Such inability shall not, by itself, constitute deficiency of service where the refused or withdrawn data was reasonably necessary for the relevant digital educational function.

Data Sharing

GoodEd may disclose or permit access to personal data, on a need-to-know and purpose-bound basis, to payment processors, cloud-hosting providers, communications vendors, analytics service providers, customer support platforms, anti-fraud vendors, infrastructure providers, app-store ecosystems, compliance consultants, auditors, legal advisors, and other service providers engaged for the operation, security, improvement, or lawful administration of the Services.

Such disclosures shall, to the extent reasonably practicable, be governed by contractual controls, confidentiality obligations, access restrictions, and use limitations appropriate to the role of the recipient. Personal data shall not be sold as a standalone data commodity; however, disclosure may occur where required to comply with law, court order, government requisition, regulatory direction, legal process, merger or restructuring activity, fraud investigation, or the protection of rights, property, safety, platform integrity, or the public interest.

Data Security

GoodEd shall maintain reasonable security safeguards commensurate with the volume, nature, sensitivity, and risk profile of personal data processed through the Site and the App, which safeguards may include access controls, need-based permissions, encryption or equivalent protection where appropriate, secure development and deployment practices, logging, vendor assessment, incident handling procedures, and internal governance mechanisms.

Notwithstanding the foregoing, no digital platform, network, storage environment, or method of transmission can be rendered absolutely immune from unauthorised access, compromise, interception, misuse, or technological failure, and therefore GoodEd does not warrant absolute security. The User acknowledges and accepts that residual risk is an inherent incident of all digital interaction.

Data Retention

Personal data shall be retained only for such period as may be reasonably necessary to fulfil the purpose for which it was collected or processed, to continue account-linked educational functionality, to meet contractual obligations, to address complaints and disputes, to preserve evidence, to comply with tax or legal obligations, or otherwise as required or permitted under applicable law.

Upon expiry of such necessity, GoodEd may delete, anonymise, aggregate, archive, suppress, or otherwise render the data incapable of practical identification, subject always to legal hold, fraud-monitoring needs, payment reconciliation, audit preservation, or other lawful retention grounds. Deletion requests shall be assessed and acted upon subject to identity verification, legal permissibility, technical feasibility, and overriding retention obligations.

User Rights

Subject to applicable law and reasonable identity verification, the User may have the right to:

  • Seek access to personal data
  • Request correction or completion of inaccurate or incomplete data
  • Withdraw consent where consent constitutes the lawful basis of processing
  • Request erasure of data that is no longer necessary or lawfully retainable
  • Seek grievance redressal in relation to data processing
  • Receive communication regarding the means of approaching the competent adjudicatory or regulatory body where such recourse is recognised by law

GoodEd shall endeavour to provide reasonable channels, whether through account settings, support workflows, deletion pages, or other means, to enable the submission and handling of such requests in accordance with statutory requirements, internal controls, and legitimate verification standards.

Children's Data

Where the User is a child or where the platform is used for the benefit of a minor, GoodEd may require such parental or lawful guardian involvement, declarations, confirmations, or consent artefacts as it deems appropriate or as may be required under law. GoodEd reserves the right to restrict account creation, suspend features, seek additional verification, or decline service where age-related compliance cannot be satisfactorily established.

Any educational usage by minors shall remain subject to the overarching responsibility of the parent or lawful guardian to supervise and evaluate the suitability of digital interactions, purchases, and communications.

Payments

The Site and the App may permit purchase of courses, subscriptions, test series, books, counselling packages, or other educational goods or services through one or more authorised payment channels, including but not limited to credit cards, debit cards, UPI instruments, net banking rails, wallet systems, app-store managed in-app purchase systems, or such other payment methods as may be supported from time to time.

The User acknowledges that payment processing may be routed through regulated payment aggregators, gateways, banking partners, app-store billing frameworks, or intermediary payment systems, and that such payment flows may additionally be subject to terms, authentication requirements, chargeback processes, security protocols, and regulatory standards imposed by card networks, issuing banks, acquiring institutions, payment service providers, platform operators, or competent authorities.

No purchase shall be deemed validly consented to by the User unless the relevant act of purchase, subscription confirmation, payment authorisation, or checkout acceptance is expressed through an explicit and affirmative action of the User or the User's authorised representative. GoodEd shall not be obliged to honour any claim founded upon alleged accidental purchase where the transaction records reasonably demonstrate affirmative completion of the purchase flow, subject however to any non-waivable statutory rights or platform-mandated refund obligations.

Pricing, promotional structures, bundles, scholarships, validity windows, and access periods may be revised from time to time, and unless otherwise expressly stated, any such revision shall operate prospectively.

Refunds and Cancellations

If a User has any complaint, dissatisfaction, or objection in relation to a digital course or package subscribed to through NEETprep, the User may approach GoodEd through the designated support or grievance channels.

Subject to product-specific disclosures, technical eligibility, evidence of purchase, anti-abuse review, and non-excludable rights under law, GoodEd may provide a refund of fees paid for eligible digital courses or packages where a request is received within three days from the date of payment.

GoodEd may, for good reason, withhold, reject, defer, or condition a refund request where there is evidence of substantial consumption, abuse, duplicate claims, chargeback misuse, policy evasion, or any circumstance suggesting bad faith. Offline products, including books or physical goods, unless expressly stated otherwise or required by law, may remain outside the ordinary refund and cancellation framework once processed or dispatched.

Accepted refund requests shall be processed within a reasonable period and in accordance with applicable law, the operational timelines of the relevant payment channel, and the settlement cycles of banking or payment intermediaries. The User acknowledges that while GoodEd may initiate or approve a refund, the final credit timeline may depend upon external financial systems beyond GoodEd's direct control.

Communications

When the User accesses the Site, uses the App, creates an account, makes a purchase, sends an email, fills out a form, initiates a support ticket, posts a query, or otherwise communicates with GoodEd through electronic means, the User consents to receive communications from GoodEd through email, in-app notifications, SMS, calls, push notifications, banners, chat interfaces, or other electronic records as may be lawfully used for account administration, purchase confirmation, service activation, fraud prevention, legal notice, grievance handling, support response, regulatory communication, service updates, and, where permitted, promotional outreach.

Such electronic records shall be deemed sufficient notice for all purposes for which electronic communication is recognised under applicable law.

We aim to resolve all complaints within 30 days.

All notices, legal demands, complaints, or communications intended for GoodEd shall be in writing and shall be sent to GoodEd Technologies Private Limited at its registered address set out in this document, or to such updated address or designated email contact as GoodEd may notify on the Site or the App.

Notices intended for the User may be delivered personally, sent by courier or post, transmitted by email or SMS, communicated by in-app message or push notification, or posted on an area of the Site or the App accessible to the User, and shall be deemed duly served when sent, delivered, posted, displayed, or otherwise made available in the ordinary course of the relevant medium.

Governing Law and Jurisdiction

This document and all disputes, claims, controversies, or differences arising out of or in connection with the Site, the App, the Services, any transaction conducted thereon, or the interpretation, formation, performance, breach, termination, or enforceability of this document shall be governed by and construed in accordance with the laws of India, without prejudice to any mandatory law that may apply by reason of the User's status as a consumer.

Subject to such mandatory rights as cannot be contractually excluded, the courts at Delhi, India shall have exclusive jurisdiction in respect of all such matters.

Disclaimer of Warranties

The Site, the App, the Services, and all NEETprep Content are provided on an "as is", "as available", and "with all faults" basis, and to the maximum extent permissible under applicable law, GoodEd disclaims all representations and warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, compatibility, uninterrupted access, timely availability, error correction, satisfactory quality, or non-infringement.

No advice, communication, marketing statement, response, or information, whether oral or written, obtained from GoodEd or through the Site or the App shall create any warranty not expressly set forth in this document.

Limitation of Liability

To the fullest extent permissible under law, GoodEd shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, savings, goodwill, opportunity, data, educational expectation, examination outcome, rank position, revenue, or business continuity arising from or related to the use of, inability to use, delay in use of, or reliance upon the Site, the App, the Services, NEETprep Content, Third Party Content, payment infrastructure, or communication systems, whether based in contract, tort, negligence, misrepresentation, strict liability, statute, or otherwise, even if GoodEd has been advised of the possibility of such damages.

GoodEd shall likewise not be liable for any damage resulting from unauthorised access, credential compromise, device infection, user negligence, telecom instability, internet outages, app-store dependencies, or acts or omissions of any third party.

Without prejudice to the generality of the foregoing, GoodEd shall not be liable for any delay, disruption, outage, failure, or inability to perform arising directly or indirectly from acts of God, natural disasters, epidemics, fires, floods, strikes, labour unrest, power failure, cyber incidents, network congestion, infrastructure failure, governmental action, court orders, legal restrictions, sanctions, telecommunication interruptions, cloud-service outages, app-store suspension, payment network issues, or any cause beyond GoodEd's reasonable control.

The User assumes the risk of using digital systems over public and private networks and acknowledges that educational continuity may depend upon factors external to GoodEd's operational control.

Indemnity

The User agrees to indemnify, defend, and hold harmless GoodEd, its affiliates, directors, officers, employees, advisors, licensors, contractors, and agents from and against any and all claims, proceedings, liabilities, losses, damages, penalties, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or in connection with the User's breach of this document, violation of law, misuse of the Site or the App, infringement of third-party rights, submission of unlawful or infringing User Material, abuse of refunds or chargebacks, or any act or omission attributable to the User that causes or is reasonably likely to cause loss, exposure, or reputational harm to GoodEd.

Aggregate Liability Cap

In any event, and without prejudice to liabilities that cannot be excluded or limited under applicable law, the aggregate liability of GoodEd and all persons acting on its behalf in relation to any User and all claims arising out of the same or connected series of events shall not exceed the greater of: the amount actually paid by such User to GoodEd for the relevant Service during the twelve months immediately preceding the first event giving rise to the claim; or INR 1,000.

Any claim arising out of or in connection with the Site, the App, or the Services must be brought within one year from the date on which the cause of action first arose, failing which such claim shall, to the fullest extent permitted by law, stand barred.
